Bowles Rice has significant experience representing represent both public and private companies throughout the Appalachian Basin in merger and acquisition transactions.

We handle all types of corporate M&A transactions, contested and negotiated acquisitions, corporate spin-offs and dividends, leveraged recapitalizations, venture capital investments, holding company formations, joint ventures, going-private transactions, and divestitures.

Our M&A practice is client-focused and client-specific. Each M&A transaction poses special issues and challenges, and we assemble an appropriate team of lawyers to provide advice on the tax, litigation, employee benefits, executive compensation, labor and employment, banking, real estate and antitrust issues presented by each particular transaction. Our team-based firm culture also enables our lawyers to work closely with in-house counsel in forming cost-effective transaction teams and to coordinate with other law firms in a co-counsel or local counsel capacity.

In addition to assisting boards of directors in understanding and satisfying their fiduciary duties in a merger context, we also advise clients in the drafting and negotiation of the transaction documents and in obtaining applicable regulatory approvals.  We assist our clients in structuring transactions to meet specific regulatory and tax concerns.  We also work with clients to address anti-competitive concerns.
