In connection with our representation of banks and bank holding companies and the West Virginia Bankers Association, we have been involved in corporate structure and expansion activities, regulatory concerns, commercial lending, and other areas of general representation. Our efforts on behalf of the West Virginia Bankers Association and Community Bankers Association require that we remain current with state and federal laws, and, we have drafted or assisted in the drafting of many changes in West Virginia law over the last ten years. We often comment on proposed state and federal regulation for the Association as well as for individual bank clients.
Expansion Activities
Our firm has extensive experience regarding the formation of bank holding companies, bank mergers and acquisitions, the acquisitions of non-banking subsidiaries, and other special projects. In this area, we are experienced in West Virginia, Virginia, Kentucky, and federal law requirements. We have regular contact with the West Virginia Department of Banking, the Virginia State Corporation Commission's Bureau of Financial Institutions, the Kentucky Department of Financial Institutions, the Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation, and the Board of Governors of the Federal Reserve System. In addition to assisting boards of directors in the necessary corporate procedures, we also assist in the numerous regulatory filings that are required by state and federal regulators of financial institutions. We have been able to structure transactions to meet specific regulatory and tax concerns, and we have assisted in applications involving extensive briefing of competitive issues arising in merger transactions reviewed by federal banking regulators, as well as the Department of Justice Antitrust Division. We have also assisted bank holding companies and banks in forming non-banking subsidiaries which conduct activities that are closely related to banking or are otherwise permissible under state and federal law.
Our typical involvement in corporate expansion projects for bank holding companies includes filings with the Securities and Exchange Commission and compliance with various state securities requirements. We have had significant experience working with accounting firms in moving registration filings through the Securities and Exchange Commission.
General Regulatory Matters
Our experience in handling regulatory matters which arise in the day-to-day operations of banks and bank holding companies includes working with clients when making special regulatory requests, such as for special dividends and increased fixed assets levels. We have also worked with banking institutions in handling matters which have arisen in the course of examinations, and we regularly assist clients in filings mandated by law, such as in the area of suspicious activity reporting. Familiar with regular requirements governing the day-to-day operations of banks and bank holding companies, we assist such institutions in establishing procedures and preventive measures, particularly in areas of policy and procedure formation.
Commercial and Consumer Lending
Our practice routinely includes drafting loan documentation for large and complex corporate loan transactions. In addition, we have experience reviewing form documentation for compliance with state and federal law in consumer credit transactions. We often assist banks in resolution of credit difficulties when they arise.
Financial
We have significant experience with bank financial management, including financial analysis, reporting systems, financial forecasts and projections, asset/liability management and business plans. Broad merger and acquisition experience includes due diligence, applications with regulatory agencies, filings with the S.E.L. and transitional issues.
